Terms of Service

The agreement governing use of Hodor Vault by your company.

Template — pending attorney review. These terms are a draft provided for configuration and are not legal advice. They must be reviewed and adapted by qualified counsel before publication.

1. The service

Hodor Vault is a field-documentation, daily-production, archive, and reverse-invoicing platform provided to companies (each, a “Customer”). Accounts are opened by and for companies — Hodor Vault is not offered to individuals acting in a personal capacity. The person who creates a company account represents that they are authorized to bind that company to these terms.

2. Accounts & users

The Customer's administrators control who may access its workspace, including employees and subcontractor crews they invite. The Customer is responsible for the acts and omissions of its users and for maintaining the confidentiality of credentials. We may suspend access for security reasons or material breach.

3. Customer content

Field reports, photos, documents, and related records the Customer or its users upload remain the Customer's property. The Customer grants us the limited rights needed to host, process, back up, and display that content in operating the service. The Customer is responsible for having the rights and consents required for the content it collects, including location data captured in the field.

4. Availability & territory

The service is currently offered to companies located in the United States, and company addresses are limited to U.S. addresses. Electronic signatures collected through the service are intended to comply with the federal ESIGN Act and UETA as adopted.

5. Fees

Pricing and billing terms are stated in the applicable order or plan documentation. Where the service is provided as an add-on through another Hodor product, billing may be handled by that product.

6. Disclaimers & liability

The service is provided “as is” to the maximum extent permitted by law. Our aggregate liability arising out of the service is limited to the fees paid by the Customer in the twelve months preceding the claim. Neither party is liable for indirect or consequential damages.

7. Termination & data export

Either party may terminate per the applicable order. Following termination, the Customer may export its records for a reasonable wind-down period, after which data is deleted per our retention settings and the privacy notice.
